2) Participating Partners, Eligibility, Services Availability
Your eligibility for use of the Services is subject to you having a relationship with a company or service provider who is an ePayOps Participating Partner (Payee) and to you owing money to that company or service provider. In order to use ePayOps' website and use the Services through this website, you must obtain access to the World Wide Web and/or Internet, either directly or through other devices that access Web-based content, and you pay any service fees associated with such access. In addition, you must supply all necessary equipment to connect to the World Wide Web and/or Internet, including a computer, a modem or other access devices. System availability and access to the Services available on this Site may be limited or unavailable for reasons which may include, without limitation, system performance. ePayOps makes no representations, warranties, or assurances as to the availability of this website.
3) Description of Services
Through ePayOps' website ePayOps currently provides access to an internet-based credit/debit card payment service to our Participating Partners (Payee) and their respective customers which facilitates electronic payments for their fees and deposits. Said payment service is referred to hereafter as the “Services.”
You, as the customer of a Participating Partner, are eligible to use the Services to pay your Payee's fees and deposits covered under our service agreement with the Participating Partner (Payee). You will receive a timely email confirmation from ePayOps acknowledging ePayOps’ receipt of credit/debit card payments.
4) Obligations
In consideration of your use of ePayOps' website and the Service if you use same, where you have provided ePayOps with information about yourself in response to prompting by this website, you agree to provide information about yourself that is true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete as of the date the information was provided, or if ePayOps has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, ePayOps reserves the right, without limitation, to suspend or terminate your Services usage and refuse any and all current or future use of this website and the Services (or any portion thereof). You may not use the Services for any illegal purpose or in any manner inconsistent with the terms and conditions of service.
5) Fees and Payments
ePayOps reserves the right at any time to charge and/or increase fees for access to portions of the Services or the Services as a whole. You shall pay all fees and charges incurred at the rates in effect for the billing period in which such fees and charges are incurred. Late fees may be assessed for payments made by credit/debit card media when they are made after the late dates and/or grace periods as established in agreements with Participating Partner (Payee).
6) Payment Cancellation, Credit and Refunds
You identify your Participating Partner (Payee) and the sum you want to have paid each time you use the Services. ePayOps has an obligation to you and your Participating Partner to have your payments forwarded reasonably promptly. For payments you believe were improperly made, ePayOps may, in its sole discretion, void, rescind or issue a credit for your payment made through the Services at any time prior to the remittance of such payment to your Participating Partner (Payee). If a payment dispute arises after payment is forwarded to your Participating Partner (Payee), the responsibility to settle the payment dispute rests with you and your Participating Partner (Payee). You waive the right to cancel credit/debit card payments which have been cleared through ePayOps clearing entity.
7) License
While you may use ePayOps' website if you agree to the terms and conditions of this Agreement, you acquire no other rights with respect to this website except as follows. You acquire absolutely no rights or licenses in or to the Services and materials contained within the Services other than the limited right to utilize the Services in accordance with the terms and conditions of this Agreement. You may copy, download, print, display on your computer, retain, and use for your personal use purposes any payment confirmations available through the Services, and such copies or downloads are licensed to you by ePayOps only for your own personal, noncommercial, non-transferable, and non-exclusive use in accordance with the terms and conditions of this Agreement. All other rights are reserved to ePayOps and no other use permissions or rights are conveyed to you. For example, and without limitation you may not: (a) reproduce and modify or add to any materials contained within the Services or any of this website’s pages, or include same in any item or material you create or distribute; or (b) otherwise exploit for any commercial purpose any portion of any materials contained within the Services or of this website or access thereto; or (c) establish: (1) a hyperlink, including without limitation a deep link, to any page or location on this website, or (2) a frame containing any portion of this website, on any other Website or text document with hyperlink capabilities; or (d) copy such content onto your or any other Website; or (e) direct any other person to do any of the foregoing.
8) Intellectual Property

ePayOps' website, its underlying technology, and all information elements and website design elements, including but not limited to page text, content, photographs, video, audio, interfaces, graphics, the selection and the arrangement thereof, and the compilation thereof, is/are protected by patents, copyrights, trademarks, service marks, international treaties and/or other proprietary rights and laws of the United States and other countries. You agree to abide by all applicable patent, trademark, copyright, and other laws. In particular, the names, logos, and icons on this website constitute trademarks or trade names of ePayOps or its affiliates. The display of these trademarks or trade names on this website does not convey or create any license or other rights in them. Any use of them without prior written permission of ePayOps or their respective owner is strictly prohibited.

12) Indemnification
You agree, at your own expense, to indemnify, defend and hold harmless ePayOps and its employees, representatives, agents, suppliers including without limitation ePayOps hosting contractor, and credit/debit card companies used to help make your payments, from and against any claim, suit, action, or other proceeding brought against ePayOps, or its employees, representatives, agents, suppliers, or said hosting contractor, or otherwise arising out of or relating to the Services or this website, by a third party, to the extent that such a claim, suit, action, or other proceeding is based on or arises in connection with the Services, including, but not limited to: (1) your use or someone using your computer for use of the Services; (2) a violation of the terms and conditions of this Agreement by you or anyone using your computer; (3) a claim that any use of the Services, or the result of using the Services, by/from you or someone using your computer infringes any intellectual property right of any third party, or any right of personality or publicity, is libelous or defamatory, or otherwise results in injury or damage to any third party or violates any law; (4) any deletions, additions, insertions or alterations to, or any unauthorized use of, the Services or this website by you or someone using your computer; (5) any information you submit or transmit through this website including without limitation any misrepresentation, false or inaccurate information submitted, or breach of representation or warranty contained herein that is made by you; and/or (6) any dispute, refund, or claim made by you with respect to a credit/debit card payment you make using the Services including without limitation regarding the performance or quality of services you received from your lawyer in connection with the payment. You agree to pay any and all costs, damages and expenses attributable to any such claim, including, but not limited to, reasonable attorneys’ fees, settlements, and damages awarded or otherwise incurred by or in connection with or arising from any such claim, suit, action, or other proceeding.
13) Jurisdiction and Governing Law
You irrevocably agree that all actions or proceedings arising out of, from, or related to the terms and conditions of this Agreement shall be litigated in a state or federal court located within the State of Illinois. You further hereby consent and submit to the jurisdiction of any such court and hereby waive any right to transfer or change the venue of any such litigation. All actions or proceedings arising out of, from or related to the terms and conditions of this Agreement shall be governed and controlled by application of the laws of the State of Illinois as to interpretation, enforcement, validity, construction, effect and in all other respects, without regard to Illinois’ conflicts of law provisions.
14) Miscellaneous
14.1 Changes. You acknowledge that ePayOps has the right to change the information and material content or technical specifications of any aspect of the Services, or to otherwise modify, suspend or discontinue, temporarily or permanently, the Services or this website (or any part thereof) at any time and from time to time, for any or no reason, at ePayOps’ sole discretion, and without notice. You further accept that any such changes may result in you being unable to access the Services. You agree that ePayOps shall not be liable to you or to any third party for any such modification, suspension or discontinuance. You further agree that ePayOps may assign its rights and duties under this Agreement to any party at any time without notice to you.
14.2 Captions and Headings. The headings contained herein are for convenience only and shall have no legal or interpretive effect.
14.3 Severability. If any provision of the terms and conditions of this Agreement, or the application thereof, is found invalid or unenforceable, that provision will be amended to achieve as nearly as possible the same economic effect as the original provision and the remainder of this Agreement will remain in full force.
14.4 Entire Agreement. The terms and conditions of this Agreement including the information submitted through forms contain the entire understanding and agreement between you and ePayOps with respect to its subject matter, superseding all prior or contemporaneous representations, understandings, and any other oral or written agreements between the parties with respect to such subject matter.
14.5 Waiver. No waiver of any provision herein shall be valid unless in writing and signed by an authorized representative of both you and ePayOps. ePayOps’ failure to insist upon or enforce strict performance of any provision of this Agreement or any right shall not be construed as a waiver of any such provision or right.
14.6 Consent Representations and Warranties. By clicking the Accept button you represent and warrant that you have read, acknowledge and agree to be bound by the terms and conditions of this Agreement. You further represent and agree that: (1) you have the power and authority to enter into this Agreement; (2) you are at least eighteen (18) years old; (3) you will comply with all United States law regarding the transmission of any data obtained from the Services and act in accordance with the terms and conditions of this Agreement; (4) you will not use the Services for illegal purposes, and (5) you will not interfere or disrupt networks connected to the Services.
